 Terms & Conditions

This Referral Agreement (“Agreement”) sets forth the terms and conditions pursuant to which an entity may refer to Alliance Development Group (as defined ADG) qualifying leads for the sale by ADG of Alteryx product.

本推荐协议（“协议”）规定了任何公司可向安联思商务顾问（北京）有限公司（ADG）提交推广Alteryx产品的销售线索的条款和条件。

Eligibility

The ADG Referral program is available to any 3rd party that is not an employee of Alteryx, ADG or any other organization in which ADG currently cooperates with in regards to the Alteryx product.

资格： ADG客户推荐项目适用于除Alteryx员工,ADG员工及ADG目前就Alteryx产品合作的任何其他公司的员工外的任何第三方公司及人员。

1. General Description.  ADG agrees to pay Referral Partner a referral fee for submitting qualifying leads which result in the sale of Alteryx products to new customers in accordance with the terms set forth in this Agreement.

 一般说明:ADG同意向推荐合作伙伴支付推荐费，用于合作伙伴按照本协议条款向ADG推荐Alteryx产品的潜在客户的销售线索，且所推荐的潜在客户最终成功购买Alteryx产品。

2. Lead Registration and Acceptance.

销售线索注册和接受

2.1          Lead Registration.  To create a qualifying lead eligible for a referral fee, Referral Partner must register leads with ADG in conjunction with the current lead process in place. Acceptance of a lead is contingent on the referral party making an introduction to the potential customers.  In cases where this is not appropriate to do, the referral party must disclose to ADG in advance on the lead registration form, the reasons why the customer is an attractive candidate and the reasons why they think the party may be attracted to Alteryx.

At ADG’s request, Referral Partner shall supply any additional information reasonably requested by ADG and/or assist ADG in making contact with the proposed lead by arranging an introduction, meeting, conference call or other means of communication with the proposed lead. Prospect must purchase and pay for an annual (or longer) Alteryx product within 90 days of the lead registration and approval or such longer period that may be authorized by ADG at its sole discretion and on a case-by-case basis.

销售线索注册：合作伙伴需按照ADG销售线索流程来注册符合条件的销售线索。销售伙伴在提交销售线索前须向潜在客户介绍Alteryx产品。在不适合这样做的情况下，推荐伙伴必须提前在销售线索登记表上向ADG披露客户接受Alteryx产品的原因。。

应ADG的要求，推荐合作伙伴应提供ADG合理要求的任何附加信息和/或通过安排介绍、会议、电话会议或其他沟通方式来协助ADG与提交的潜在客户取得联系。潜在客户必须在销售线索注册和批准后90天内购买并支付年度(或更长)Alteryx 产品费用，或在ADG根据具体情况自行决定授权的更长期限内购买和支付费用。

2.2          Lead Acceptance.  Within a reasonable period of time following Referral Partner’s submission of a proposed lead, ADG shall review the proposed lead and provide Referral Partner with a notification of its acceptance of the proposed lead as commissionable, or its rejection of the proposed lead. ADG will be under no obligation to accept any proposed lead submitted by Referral Partner and may reject or decline to accept proposed leads for any commercially reasonable reason as determined by ADG, including that:

销售线索接受：在推荐合作伙伴提交销售线索后的一段合理时间内，ADG应审查提交的销售线索，并向推荐合作伙伴发出接受销售线索为可委托销售线索或拒绝销售线索的通知。ADG将没有义务接受推荐合作伙伴提交的任何销售线索，并且可以基于ADG确定的任何商业合理原因拒绝或拒绝接受销售线索，包括：

(i)                the proposed lead was an existing customer of ADG or of any of its affiliates at the time of submission of the proposed lead;

提交销售线索时，销售线索是ADG的现有客户或其任何附属公司；

(ii)              ADG or any of its partner was already involved in discussions relating to the sale of Alteryx product to the proposed lead at the time of submission of the proposed lead;

在提交销售线索时，ADG或其合作伙伴已经参与了与该销售线索客户关于Alteryx产品的沟通；

(iii)     the proposed lead has previously been submitted to ADG by Referral Partner or by any other third party;

           所推荐的销售线索之前已由其他推荐合作伙伴或任何其他第三方提交给ADG；

(iv)     The proposed lead was submitted by an employee of the company identified in the lead

3. Referral Fee.  

推荐费

3.1          Fee.  ADG will pay Referral Partner a referral fee equal to 5%[AD1] [CD2]  of the NET First Year Subscription Fees collected by ADG from leads registered by Referral Partner which are approved in writing by ADG and closed by ADG within 90 days of date of approval (or for such longer period as may be authorized by ADG pursuant to Section 2.1 above). Net First Year Subscription Fees shall be calculated based on amounts collected less taxes and  and other amount required to pay to other 3rd parties involved in the transaction which could include, strategic integrators, trainers, finance companies, etc.

费用：ADG同意向推荐合作伙伴支付推荐费用，用于合作伙伴按照本协议条款向ADG推荐Alteryx产品的潜在客户的销售线索，且所推荐的潜在客户必须在销售线索注册和批准后90天内购买并支付年度Alteryx 产品费用（或ADG根据上述第2.1条款授权的较长期限内）。ADG将按照推荐合作伙伴成功推荐的新客户成功购买Alteryx软件业务收入（第一年订阅的实际净收入）的 5 % 向推荐合作伙伴支付推荐奖金。第一年订阅的实际净收入是指除去税金，以及支付第三方所涉及的相关费用（包括培训，财务公司费用，战略集成商等。）

3.2          Eligibility.  Alteryx product renewals, support, implementation, training or other professional services are not eligible for referral fees. ADG will remit referral fees within 60 days after the qualifying lead payment is received. Referral Partner will be solely responsible for payment of all taxes and other costs levied against the referral fee or its operations. ADG will manage  provision, billing and collection activities with end-user Customers.

资格: Alteryx服务订阅续订、支持、实施、培训或其他专业服务不符合推荐费的条件。ADG将在收到新客户的软件费用后的60天内向推荐合作伙伴支付推荐费。推荐合作伙伴将负责推荐费的相关税金。ADG将管理软件的供应，账单及向最终用户客户的收款。

5. General.  

5.1          Restrictions; Disclaimer.  ADG will handle all sales, provision, billing and collection activities. Referral Partner may not use marketing materials or trademarks without prior written authorization in each case. The Marketo Services will be provided to customers solely pursuant to a services agreement between Marketo and its customers. ADG MAKES NO REPRESENTATIONS OR WARRANTIES TO REFERRAL PARTNER OR ITS LEADS, INCLUDING ANY EXPRESS OR IMPLED WARRANTIES OF MERCHANTIBILITY, FITNESS FOR A PARTICULAR PURPOSE OR OTHERWISE, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MARKETO WILL NOT BE LIABILE FOR ANY SPECIAL OR INCIDENTIAL DAMAGES THAT MAY ARISE UNDER THIS AGREEMENT AND IN NO EVENT WILL MARKETO’S LIABILITY EXCEED THE AMOUNT OF THE REFERRAL FEE FOR THE QUALIFYING TRANSACTION.

限制；免责声明。ADG将处理所有产品的销售、供应、计费和收款。未经事先书面授权，推荐合作伙伴不得使用ADG的市场资料和商标。Alteryx的产品将仅根据ADG与最终客户之间的协议提供给客户。在适用法律允许的最大范围内，ADG不对推荐合作伙伴或其潜在客户作出任何陈述或保证，包括对适销性、特定用途适用性或其他方面的任何明示或默示保证。在适用法律允许的最大范围内，ADG不对本协议项下可能产生的任何特殊或附带损害承担责任，并且在任何情况下,ADG的责任不得超过合格交易的转介费金额。

5.2          Relationship of the Parties.  This Agreement does not create a partnership, franchise, joint venture, agency, fiduciary or employment relationship between the parties, notwithstanding its use of the term "partner." There are no third-party beneficiaries to this Agreement. Referral Partner may not assign any rights or obligations under this Agreement without ADG’s prior written consent.

双方的关系：尽管使用了“合伙人”一词，但本协议并未在双方之间建立合做、特许经营、合资、代理、或雇佣关系。本协议没有第三方受益人。未经ADG事先书面同意，推荐合伙人不得转让本协议项下的任何权利或义务。

5.3         

            Governing Law. This Agreement will be governed by the laws of the People’s Republic of China. All disputes arising from the execution of, or in connection with this Agreement, shall be settled amicably through friendly negotiation. In case no settlement can be reached through negotiation, the case shall be submitted to the Court in the place where ADG is located.

本协议将受中华人民共和国法律管辖。因执行本协议或与本协议有关的一切争议，应通过友好协商解决。如无法通过协商解决，应将案件提交给ADG所在地的法院。

The individual who clicks the "I Accept" button below represents and warrants that he or she has the requisite authority to bind his or her company (“Referral Partner”) to this legally binding Referral Agreement, which is effective between the Referral Partner and ADG as of the date of such acceptance (“Effective Date”). In the event Referral Partner and ADG have executed or will execute a separate referral contract for the sale of Alteryx products, such executed contract shall supersede this Referral Agreement.

点击下面“我接受”按钮的个人表示并保证，他或她拥有必要的权限，使其公司（“推荐合作伙伴”）受本具有法律约束力的转介协议约束，该协议自接受之日（“生效日期”）起在推荐合作伙伴和ADG之间生效。如果推荐合作伙伴和ADG已签署或将签署单独的合同，用于销售Alteryx产品，则该已签署的合同应取代本推荐协议。
